The contractual terms governing use of ReplyEveryReview.

2.1 About these Terms

These Terms govern access to and use of the ReplyEveryReview website, dashboards, monitoring services, reports, AI-assisted outputs and related services. By creating an account, purchasing a subscription, accepting an order form or using the service, the customer agrees to these Terms. A person using ReplyEveryReview for an organisation confirms that they have authority to bind that organisation.

2.2 Supplier information

ReplyEveryReview is a trading name operated by Lewis Clarke, a sole trader. General support: support@replyeveryreview.co.uk. Billing, subscription and cancellation enquiries: billing@replyeveryreview.co.uk. Privacy enquiries: privacy@replyeveryreview.co.uk. Correspondence address: To be added before paid launch. ReplyEveryReview is not currently a limited company and does not have a Companies House registration number or registered office.

2.3 Business use and customer confirmation

ReplyEveryReview is intended for customers purchasing wholly or mainly for business, trade, professional or commercial purposes, including companies, partnerships, sole traders acting professionally, agencies, charities and other organisations. By creating a paid account or purchasing a subscription, the customer confirms that they are at least 18 years old, are purchasing for business purposes, are authorised to act for the named business or organisation, and are not purchasing primarily for personal, family or household use. Where an agency purchases for or manages a client, the agency confirms that it has authority to configure searches and process relevant information for that client. Nothing in these Terms excludes rights that cannot legally be excluded.

2.4 The service

ReplyEveryReview is a managed monitoring and workflow service supported by software, automation, AI and human review. It helps customers configure campaigns, search supported public sources, find potentially relevant public conversations, identify recommendation requests and buying intent, monitor competitor complaints, score findings, prepare reply drafts, review and approve replies, organise findings and receive reports. The precise features, sources, search volumes, client limits, allowances and reporting frequency depend on the selected plan or written order.

2.5 No automatic publication by default

Suggested replies are not automatically published by default. Customers remain responsible for deciding whether to respond, whether the reply is accurate and suitable, whether disclosure is required, and whether the response complies with platform rules and applicable law. Automatic publication or direct platform integration applies only where expressly offered, separately agreed and enabled by an authorised user.

2.6 Accounts and security

The customer must provide accurate registration information, keep login details confidential, ensure users are authorised, remove access from former staff or contractors, review account activity and promptly report suspected unauthorised access. Individual logins must not be shared between unrelated users where separate accounts are available. ReplyEveryReview may require reasonable identity, business or authority verification.

2.7 Onboarding and customer instructions

The quality of the service depends on accurate onboarding information about the customer's business, products, services, target customers, locations, keywords, competitors, customer problems, reply preferences, restricted topics and approval requirements. ReplyEveryReview is not responsible for irrelevant results caused by incomplete, misleading or inaccurate customer instructions and may ask the customer to update an insufficient profile.

2.8 Supported public sources

ReplyEveryReview may search or monitor supported public sources such as Reddit, X/Twitter, TikTok, Instagram, YouTube, Google and other search results, Facebook public content, review-style websites, public forums and other lawful public discussions. The availability of a source may change because of platform rules, technical changes, APIs, geographic limits, access controls, legal requirements or third-party decisions. ReplyEveryReview does not guarantee that every source will be continuously available on every plan and may replace, restrict or remove a source where monitoring becomes technically, commercially or legally impractical. ReplyEveryReview is not affiliated with or endorsed by the platforms it monitors unless expressly stated.

2.9 Search results and service limitations

ReplyEveryReview aims to provide useful findings but does not guarantee that every relevant conversation will be found, that every result will be accurate or commercially useful, that public content will remain available, that a person will respond positively, or that the service will improve revenue, reputation or search visibility. Customers purchase monitoring, assessment, workflow and reporting rather than guaranteed leads, sales or conversions.

2.10 AI-generated scores and replies

AI-generated scores, summaries and reply drafts may contain errors, omissions or inappropriate wording. They are decision-support material and are not legal, financial, medical, regulatory or other professional advice. The customer must review the original conversation, surrounding context and suggested reply before use and must not publish content that is known or reasonably suspected to be false, misleading, defamatory, discriminatory, unlawful, deceptive, manipulative or contrary to platform rules.

2.11 Acceptable use

The customer must not use ReplyEveryReview to:

  • send spam or mass unsolicited replies
  • harass, threaten or intimidate anyone
  • impersonate another person or business
  • conceal a commercial relationship where disclosure is required
  • create fake reviews, testimonials or ratings manipulation
  • discriminate based on protected characteristics
  • target children or vulnerable people inappropriately
  • collect information for stalking or personal surveillance
  • obtain passwords, private messages or non-public information
  • bypass platform security or access controls
  • violate intellectual-property rights or publish defamatory content
  • conduct unlawful direct marketing
  • upload malicious software or interfere with system security
  • reverse-engineer the service except where legally permitted
  • resell ordinary account access without an authorised agency plan
  • use the service for any unlawful purpose

ReplyEveryReview may suspend or terminate access where it reasonably believes the service is being misused.

2.12 Customer replies and public engagement

When responding to public conversations, the customer is responsible for ensuring that the reply is relevant, identity and commercial relationships are not misleading, claims are accurate, promotional content is appropriately disclosed, community rules are respected, repeated or unwanted contact is avoided, privacy and marketing requirements are followed, and AI-generated statements are checked. ReplyEveryReview may recommend that no reply is made where engagement appears inappropriate.

2.13 Agency accounts

An agency account may allow an agency to manage multiple client workspaces. The agency is responsible for obtaining client authority, keeping client data separated, assigning appropriate permissions, ensuring its staff comply with these Terms, obtaining required approvals, managing its client relationships and staying within purchased allowances. Unless separately agreed, ReplyEveryReview is not a party to the contract between an agency and its client.

2.14 Plans, allowances and credits

A subscription may include limits relating to active clients, platforms, keywords, searches, findings, monitoring frequency, users, reports, storage, reply preparation or other features. Applicable limits are shown at checkout, in an order, in the dashboard or in the plan description. Unused allowances have no cash value and do not roll over unless expressly stated. ReplyEveryReview may restrict additional activity when an allowance is reached and may offer upgrades, add-ons or top-ups.

2.15 Prices and payment

Prices are stated in pounds sterling unless otherwise shown. The checkout will state whether VAT is included or added. The customer authorises ReplyEveryReview and its payment provider to charge the initial fee, recurring renewals, agreed add-ons, approved top-ups, overage charges where clearly agreed, and applicable taxes. The customer must maintain a valid payment method. If payment fails, ReplyEveryReview may retry payment, contact the account owner, restrict access, pause monitoring, suspend the account or terminate the subscription after reasonable notice. Valid charges incurred before suspension or termination remain payable.

2.16 Subscription term and automatic renewal

The subscription term and billing frequency are displayed before payment. Unless cancelled before the renewal date, the subscription renews automatically for another period of the same length and the applicable renewal fee is charged to the stored payment method. Before payment, the customer will be shown the selected plan, price, VAT treatment, billing frequency, initial payment date, automatic-renewal arrangement, main allowances, cancellation method and any introductory price that later changes. Optional paid services will not be added without express agreement. Where ReplyEveryReview materially increases the recurring price, reasonable notice will be given before the new price applies to a future renewal.

2.17 Start of service

ReplyEveryReview may begin providing the service shortly after payment or completion of onboarding. Activity may include account setup, onboarding review, campaign configuration, monitoring allocation, public searches, data processing, AI scoring, staff review and report or reply preparation. The customer acknowledges that work and service costs may begin before the first finding appears. Business customers do not receive a contractual cooling-off period unless ReplyEveryReview expressly offers one in writing. Mandatory consumer rights remain unaffected where they legally apply.

2.18 Checkout information

A paid order is not complete until the customer has been shown the material subscription information and actively confirms the purchase. The payment button will clearly indicate that the order creates an obligation to pay. ReplyEveryReview will provide electronic confirmation containing or linking to the purchased plan, price, billing frequency, renewal arrangement, effective date, Terms, Privacy Policy, Cookie Policy, Refund and Cancellation Policy and cancellation instructions.

2.19 Cancellation

The customer may cancel through the dashboard where available or by emailing billing@replyeveryreview.co.uk from the account email address. The request should identify the customer, business and subscription or invoice where available. Cancellation normally takes effect at the end of the current paid billing period. Monitoring and access may continue until that date. Cancellation prevents the next renewal. Unused time or allowances are not converted into cash unless required by law or expressly agreed.

2.20 Refunds

Refunds are governed by the Refund and Cancellation Policy. Nothing in that policy limits rights that cannot legally be excluded.

2.21 Changes to plans and features

An upgrade may take effect immediately and may create a prorated or immediate charge. A downgrade will normally take effect at the next renewal unless otherwise shown. Downgrading may reduce searches, platforms, clients, users, storage, reports or access to historical information. The customer is responsible for exporting required information before a downgrade takes effect.

2.22 Customer Content

Customer Content means business information, instructions, brand materials, examples and other content submitted by or for a customer. The customer retains its rights in Customer Content and grants ReplyEveryReview a non-exclusive worldwide licence to host, copy, process, adapt and use it only as reasonably necessary to provide, secure and support the service and meet legal obligations. The customer confirms that it has the necessary rights and authority to provide Customer Content.

2.23 Outputs

Subject to these Terms and third-party rights, the customer may use, edit and publish suggested replies and reports produced for its account. ReplyEveryReview does not guarantee that an AI-generated output qualifies for copyright protection or is unique. Similar outputs may be generated for other users where instructions or source material are similar. Public-source content remains subject to the rights of its respective owners.

2.24 ReplyEveryReview intellectual property

ReplyEveryReview and its licensors retain all rights in the platform, website, dashboards, software, databases, workflows, scoring structures, branding, templates, documentation and service methodology. Except for the limited right to use the service during an active subscription, no rights are transferred to the customer.

2.25 Confidentiality

Each party must protect confidential information received from the other and use it only for the business relationship. Confidential information excludes information that is already lawfully public, was lawfully known without restriction, is lawfully received from a third party, is independently developed or must be disclosed by law.

2.26 Data protection and Data Processing Addendum

Each party must comply with applicable data-protection law. The Privacy Policy explains ReplyEveryReview's controller processing. Where ReplyEveryReview processes personal information as a processor on behalf of a customer, the Data Processing Addendum forms part of these Terms and takes priority for processor obligations where there is a conflict.

2.27 Third-party services

The service partly depends on third-party providers, platforms and infrastructure. ReplyEveryReview is not responsible for third-party outages, content removed by its author, platform-rule changes, inaccurate third-party information, external account suspensions, payment-provider decisions or independent external websites.

2.28 Availability and maintenance

ReplyEveryReview aims to keep the service reasonably available but does not guarantee uninterrupted or error-free operation. Planned or emergency maintenance, security updates and infrastructure changes may occur. Unless a separate service-level agreement has been signed, availability targets are objectives rather than contractual guarantees.

2.29 Suspension

ReplyEveryReview may suspend all or part of the service for non-payment, suspected fraud, security risk, unlawful use, breach of these Terms, excessive use affecting others, third-party restrictions, legal requests or urgent technical problems. Where reasonably possible, the customer will be told the reason and given an opportunity to remedy it.

2.30 Termination

Either party may terminate where the other commits a material breach and fails to remedy it within a reasonable period after written notice. ReplyEveryReview may terminate immediately for serious unlawful activity, deliberate security abuse, fraudulent payment activity, repeated prohibited conduct or misuse creating material risk. On termination, the right to use the service ends, unpaid charges become due, monitoring may stop, dashboard access may end and provisions intended to survive will continue.

2.31 Disclaimers

To the fullest extent permitted by law, the service is provided on an "as available" basis. Public information may be incomplete, outdated or inaccurate; AI outputs may contain errors; search coverage varies; commercial outcomes are not guaranteed; and the customer remains responsible for final decisions and published communications.

2.32 Liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot legally be excluded or limited. Subject to those exceptions and to the fullest extent permitted by law, ReplyEveryReview will not be liable for indirect or consequential loss, loss of profit, revenue, savings, business, opportunity, goodwill or reputation, a customer's publication decision, third-party platform action, content removed by a third party, or losses caused by inaccurate customer instructions. Subject to the exclusions above, ReplyEveryReview's total aggregate liability arising from the service will not exceed the total fees paid or payable by the affected customer during the 12 months immediately preceding the event giving rise to the claim, to the extent this limitation is reasonable and legally enforceable.

2.33 Customer responsibility for claims

The customer is responsible for reasonable losses, costs and claims resulting from Customer Content that infringes another person's rights, unlawful use of the service, a reply published in breach of these Terms, unauthorised agency use of client information, or deliberate misuse of public personal information. This does not apply to the extent a loss was caused by ReplyEveryReview's own breach or negligence.

2.34 Changes to these Terms

ReplyEveryReview may update these Terms to reflect service changes, new features, legal requirements, security needs or provider changes. Material changes affecting an active paid subscription will be notified through the website, dashboard or account email. Where required, express agreement will be requested.

2.35 Events outside reasonable control

Neither party is responsible for delay or failure caused by events outside reasonable control, including widespread internet or cloud failure, platform shutdown, cyberattack despite reasonable safeguards, natural disaster, war, civil emergency, government action or failure of essential third-party infrastructure. The affected party must take reasonable steps to reduce the impact.

2.36 Assignment

The customer may not transfer its agreement or account without written permission. ReplyEveryReview may transfer the agreement as part of a genuine sale, restructuring or transfer of the service, provided the customer's contractual rights are not materially reduced.

2.37 Entire agreement, severability and waiver

These Terms, the selected plan or order, Privacy Policy, Cookie Policy, Refund and Cancellation Policy and any signed data-processing or service agreement form the entire agreement about the service. If any provision is unenforceable, the remaining provisions continue. A delay in enforcing a right does not waive it.

2.38 Governing law and courts

These Terms and disputes arising from them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where applicable law requires otherwise.

Required checkout confirmations

The live checkout should require an unticked business-purchase confirmation, an unticked automatic-renewal confirmation, and agreement to the Terms. The final button should clearly state "Subscribe and pay" or "Start paid subscription".
